'LIVE' STREAM TERMS & CONDITIONS
These Terms and Conditions (the "Terms") govern the use of Uvid UGC's User-Generated Content (UGC) platform (the "Platform"). By engaging with the Platform, you agree to comply with and be bound by these Terms. Please read them carefully before submitting engaging our 'live' streamers.
1. Engagement Process:
1.1 Clients must submit a detailed request specifying the nature, theme, and requirements for the live stream.
1.2 Uvid UGC will match clients with suitable live streamers based on their brand and content preferences.
2. Content Creation:
2.1 Live streamers will create content in real-time, aligning with the client's brand guidelines and specifications.
2.2 Clients will have the opportunity to provide real-time feedback and guidance during the live stream.
3. Duration and Scheduling:
3.1 Clients are responsible for specifying the duration and scheduling details for the live stream engagement.
3.2 Any changes to the schedule must be communicated well in advance and are subject to the availability of the live streamer.
4. Brand Guidelines:
4.1 Live streamers will adhere to the client's brand guidelines, ensuring a consistent and on-brand experience.
4.2 Clients are encouraged to provide any necessary brand assets or guidelines before the live stream.
5. Interaction During Live Streams:
5.1 Clients may interact with the live streamer and audience during the live stream within the bounds of respectful and brand-appropriate communication.
5.2 Any requests or instructions during the live stream should be communicated clearly and in a timely manner.
6. Ownership and Usage Rights:
6.1 Clients retain the rights to use and repurpose the live stream content for promotional purposes.
6.2 Uvid UGC retains the right to showcase snippets of the live stream for promotional activities related to the Uvid UGC platform.
7. Payment and Compensation:
7.1 Clients agree to compensate live streamers based on the agreed-upon terms and rates.
7.2 Payments must be made promptly as per the payment schedule provided by Uvid UGC.
8. Confidentiality:
8.1 All information shared during the engagement, including brand strategies and campaign details, is considered confidential and will not be disclosed to third parties.
9. Termination:
9.1 Either party may terminate the engagement in the event of a breach of these Terms.
9.2 Termination does not negate any obligations arising from live stream engagements initiated before termination.
